John E. Mack III is Executive Vice President, Co-Head of Investment Banking
and Head of Mergers & Acquisitions at Imperial Capital. Mr. Mack joined
Imperial Capital in 2008 as part of the firm’s acquisition of certain assets
of USBX Inc., an investment banking firm focused on mergers and acquisitions.
Mr. Mack was founder and Chief Executive Officer of USBX. Prior to USBX,
Mr. Mack served as the Chief Executive Officer and a member of the Board
of Directors of Protection One, Inc. (NASDAQ: PONE), then the nation's second
largest provider of life safety and property monitoring services. Prior
to assuming the role of CEO, Mr. Mack held the positions of Chief Financial
Officer, Chief Strategy Officer and Executive Vice President of Business
Development, where he was involved in over 200 acquisitions and oversaw
the company’s growth from approximately 30,000 subscribers and $17 million
in revenue to more than 1.6 million subscribers, $600 million in revenue
and an enterprise value of over $2 billion. Before joining Protection One,
Mr. Mack was a Senior Executive Officer with Westec Security, Inc. and prior
to Westec he was a Senior Executive Officer with MCM, Inc., dba FAFCO Solar
of Northern California. Mr. Mack earned a B.A. from Stanford University
and an M.B.A from the University of California at Los Angeles.

Chris Shepard is Executive Vice President, Co-Head of Corporate Finance
and Head of Capital Markets at Imperial Capital. Based in Los Angeles, Mr.
Shepard has over 15 years experience in financings, mergers and acquisitions,
and restructurings. He has advised on over $5 billion in transactions in
a wide range of industries, including healthcare, telecom, industrial, consumer,
media, technology, energy, gaming and transportation. Prior to joining Imperial
Capital, Mr. Shepard was an Associate at the Los Angeles office of Milbank,
Tweed, Hadley & McCloy, a New York-based corporate law firm, where he specialized
in public securities and mergers and acquisitions transactions. Mr. Shepard
received his B.S. with a concentration in Accounting, an M.B.A. and his
J.D. from the University of Michigan.

Matthew Spain is Managing Director, Investment Banking Group, based in
Imperial Capital’s Los Angeles Office. Mr. Spain has over 16 years of experience
and expertise in mergers and acquisitions, specifically in the industrials
sector. Prior to joining Imperial Capital, Mr. Spain worked for the Los
Angeles based private equity firm, The Gores Group, responsible for sourcing
and executing acquisition and divestiture transactions for existing portfolio
companies. Prior to joining Gores, Mr. Spain was a Managing Director in
the M&A Group of UBS Investment Bank. In his eight years with UBS, Mr. Spain
was responsible for building and heading Wall Street's leading Exclusive
Sales & Divestiture Group. Mr. Spain also served as a member of the UBS
Banking Review Group and Fairness Opinion Committee. Mr. Spain began his
investment banking career at Donaldson, Lufkin and Jenrette and over the
span of his career has executed over 70 M&A and financing transactions.
Mr. Spain earned an M.B.A. from the University of Texas at Austin and a
B.B.A. from Southern Methodist University.

Allen Stern is Managing Director, Capital Markets, Investment Banking
Group in the Los Angeles office of Imperial Capital. He has over 25 years
of experience advising boards and management teams on debt and equity capital
markets, merger and acquisitions and restructurings. Mr. Stern has significant
relationships within the institutional community including financial sponsors,
hedge funds, mezzanine funds and senior lenders. Before joining Imperial
Capital, Mr. Stern was a Senior Vice President in the corporate real estate
finance division of the Binswanger Company. Prior, he was a Vice President
in the leveraged leasing/equipment and project finance arm of B.O.T Financial.
Mr. Stern received a B.S. degree in Economics from Northeastern University
in Boston.

Erich Hobelmann is Senior Vice President, Investment Banking Group in
Imperial Capital’s New York Office. Mr. Hobelmann advises on a variety of
restructuring, M&A, capital raising and valuation matters. In addition,
Mr. Hobelmann has extensive transaction experience within Imperial Capital’s
Alternative Energy and Industrials industry verticals. Prior to joining
Imperial Capital, Mr. Hobelmann worked in the Financial Restructuring Group
at Houlihan Lokey Howard & Zukin where he focused on a variety of debtor
and creditor side financial restructuring engagements and distressed M&A
transactions. Mr. Hobelmann received his B.S. in Business Administration
with a concentration in Finance and Business Economics from the University
of Southern California.

Russell Brumpton is Vice President, Investment Banking, based out of
the Los Angeles office of Imperial Capital. Prior to joining Imperial Capital,
Mr. Brumpton was employed by Standard & Poor’s Corporate Value Consulting
division, where he performed business and intangible asset valuations for
companies in a variety of industries for the purposes of financial reporting,
tax and internal restructuring. Prior to Standard & Poors, Mr. Brumpton
was in the assurance and business advisory group at PricewaterhouseCoopers
and was an analyst at Salomon Smith Barney. Mr. Brumpton received his B.A.
in Economics from the University of California, Los Angeles.
